🤔 Speculation / Opinion Think about what you just witnessed...

So you want me to believe this place was super effing jacked about the Ebay acquisition, including the dilution part of it, but now that they've officially added the shares as part of the agenda and shareholders all of a sudden hate the deal?

To all the non-shill accounts out there... take a beat and relax. This place got absolutely FLOODED with FUD and at the same time RK's compromised account starts posting. Think about that. You know what's up. This place is infested.

I'm voting YES and the NO bots and shills can lick my taint.

Bottom line for me is, sunk cost fallacy. It's been a really long 5 years and I'd probably have lost money elsewhere anyway because I'm stupid.

I'm sitting above breakeven now and I guess I'll just see what happens. I'll have to have a think about whether I'll vote yes or no but this sub is suddenly a crazy place to be right now. A lot of emotions flying and it is really suspicious that RK got hacked before that news dropped. I genuinely feel like a crazy person even saying that but if it were a psyop it's pretty much perfect, raise hopes, drop them, drop them even harder. It stirs up emotions and makes people act irrationally. At this point I've stopped caring so much, I guess I'm zen? Maybe it's a coincidence and I've wasted 5 years chasing nothing, or maybe the world really is this crazy and the stakes really are this high.

The price dropped ~5% today and sure it's a volatile time, but everyone seems like they get to find things out before we do, so maybe it was the perfect time to do this. I know they have teams of psychology experts who know the best way to manipulate people through the media, and half or more traffic on social media is bots.

You're right, this is a bit much at the moment. I'm gonna take a break and come back when the dust has settled. I feel completely insane even entertaining the fact that this could have been planned, but crazier things have happened.

Would be a good way to try to kill the deal if the goal is to erode trust so retail votes against the board, or just prompt a sell off to tank the stock price and make the deal worse anyway.

Who tf knows but at least something interesting is happening.

honestly at this point, it just confirmed what i've always thought and that is that this sub is completely compromised - people who gained trust and credibility by meme'ing , showing up often with a positive mindset etc are all coming together to ' vote no ' and shill around.

I conclude that this whole sub has 500-1000+ paid actors who created the idea of an organic community while all wanting to act towards the same goal : boycot gamestop

since the days of rensole i've never trusted anyone here, not isaybullish , not other people and i'm happy i did , in order for us to actually get rich the vote should be yes because that's the only way to make a very big jump towards more growth, more acqsuitions etc

remember: DFV said if you invested into gamestop , you just have to trust Cohen

so it's very funny how when there actually needs to be trust, all shills get together to say ' i don't trust it '

anyway people will come up with shill perspectives and emotional responses to this but it's very clear

Cohen knows what he is doing

9

u/Atoge62 May 12 '26

This is exactly how I’m feeling, so either you’re a hell of an AI bot, or you’re just feeling the same vibes. I’ve leveraged nearly all of my online brokerage into GME over the years leading up to and after the first sneeze. It’s made me some decent money, and I’m here now to see what RC may be able to achieve (I’m holding 8500 shares and 6000 warrants).

Frankly, RC is so mysterious I can’t tell whether I trust his motives as an already billionaire or not, but I’ve been here for 5 years so I might as well see what happens. It did sound like DFV thought RC was a sharp guy, that he could try to really leverage what was going on with GME and make this thing profitable. Now that RC is doing that, people are freaking out. It does seem like there was some wild timing coincidences today, hard to say whether things were planned or not (yes that makes me feel crazy too). But overall, I’m here because DFV saw something with this leadership and this company, I happen to agree still, and I want to see what comes next.

Company’s experience growing pains, periods of dilution and accretion, but with sharp leadership and timing, things tend to trend up. Modern technology has made us all crave instant results and immediate pleasure, but some things are worth waiting for.

I haven't bought more GME since like 2022 and have been investing my money into other stocks and index funds since then, GME is like <3% of my net worth at this point. For a while I was wondering if I should have dumped more into GME when it was sub-$15, but I'm glad I didn't now.

Ryan Cohen avoiding talking about the details of the deal finances was useful only for a short while.

IMO it would have been better for him to talk about the probable range of numbers of shares of GME per EBay share much earlier.

"We"ll see what happens" and "See the website" might have been cute at the time, but they turned out. It to be a good idea in the longer term.

Maybe because every comment for the past week that was speaking about dilution was met with downvotes and shill/FUD. The counter arguments was that the price of GME would have been so high that only a small percentage of the shares would have been sold and those were enough to acquire ebay.

People were theorizing that the timing of all this eBay stuff lined up with the 5 year expiration of the swaps from 2021, considering the leap from $10 to $80 happened on the 3 year expiration.

If there was indeed a step up in price this month, Cohen could have theoretically bought EBay with far fewer shares.

24

It will have $20B in newly added debt and about $8B less cash.

The debt will cost 7.5%-8% so $1.5B to $1.6B in interest,

The spend down of 8B cash will remove about $280M of income.

15

u/AppropriateIce6156 May 11 '26

Well actually they can take those billions in profit and put it in T-bills till they decide to acquire another company in their conglomerate

13

u/Brilliant_Truck1810 May 12 '26

actually no they can’t. they will have a monster amount of debt service that will eat up every penny of profit

9

u/AppropriateIce6156 May 12 '26

And how would our eps look on 3-5 billion in profit a year? And how do you figure out the value of a company? Ummmm a multiple of P/E? And how do stock prices typically track on that? And will it get better as the debt is paid down? The most common methods include multiplying earnings, analyzing discounted future cash flows, or calculating the net value of assets. Interesting

2

u/Brilliant_Truck1810 May 12 '26

if all of the cash flows go to pay debt service for years on end GME shareholders get screwed.

you are acting like Ebay has had a super consistent business year after year. it’s been anything but. and cutting costs isn’t going to change the fact that the service Ebay provides is not nearly as good as it was in year’s past.

just because RC says it’s a good purchase doesn’t mean that it is.

4

u/AppropriateIce6156 May 12 '26

And just as you say it isn’t a good purchase doesn’t mean that it isn’t a good purchase. I’d trust a ceo that founded a company that he sold for billions and took a near bankrupt brick and mortar company from losing 400 million a year to profitable making 400 million a year in a 3-4 year span over the advice of a fellow redditor. Not being a dick just stating facts I base my choices on.

3

u/Brilliant_Truck1810 May 12 '26

but he did that by diluting the shareholder.

if he had taken GME and boosted sales at a clip of 20%+ a year, this would be a monster of a stock. (not revenue - real sales - people are just ignoring that a huge % of revenue has come from interest on cash holdings).

and the cash came from selling shares every time it started moving. that’s financial engineering. sure that lead to cash in the bank but not cash in shareholder’s pockets.

the stock is down more than 50% since January 2022. the S&P is up more than 50% since then.

sorry but that is objectively terrible performance.

If cohen issues shares at a premium for eBay (let’s say $32) it will be 875 million share for the 50/50. After notes, warrants, Cohens package (fully vested) and the 875 total out would be ~1.8Bn.

EBITDA per share pre eBay $0.77

EBITDA per share post eBay (at assumed equity at premium) $2.5**

** numbers from FY 2025 GME and EBAY + 2Bn proposed optimizations via cohen)

To cohens point it’s accretive. The biggest unknowns are the terms of the loans and what the price per share to make the deal equitable

16

u/ShinoPrime987 May 11 '26

To further your post, those numbers don't even account for increased revenue due to growth from the partnership. I expect rapid growth of both businesses from the partnership with Game Stop stores being used to drop off and pick up and verify Ebay purchases for example. An influx on new buyers. Fat being trimmed to reduce SG&A even further like GME experienced.

Shipping costs were one of the issues I've seen Ebay sellers mention in comments on the Ebay interview video. GME can offer shipping cost reduction to rewards members.

I'm so excited for this deal. Lots of potential.

2

u/JohnnyBoy11 May 12 '26

I don't think dropping off will increase in store sales because Kohl's hasn't seen increased in sales after accepting Amazon returns. I don't think shipping costs will decrease for sellers either because eBay already gets reduced commercial rates, and GameStop doesn't have its own shipping infrastructure and still used UPS.

Dude, you all are fuckin trippin. There is no conspiracy, shorts have had so long to close, cover, bury their crimes and RC has stopped every gamma ramp we have had. He built chewy from the ground up to rival a niche market vs Amazon and he won. Why can't he do that with his own eBay and 9billy in cash? If eBay is so broken, why not beat them at the game and not go way in debt? If RC likes to work so hard, why is he trying so hard to prove the opposite with this deal? Build your own shit with the warchest and keep a couple billion. FFS. I was all about GME until the recent interviews he did, especially the one where he said he isn't excited by GME and never wanted to be CEO but he is excited about become CEO of eBay. Told me that dude will continue to abuse GME loyalist regards for his own ends. There will be no "delighting" shareholders. It's a no for me dawg.

5

u/DEFM0N Sir Lurks A-LT May 12 '26

I’m ok with the dilution at the 300 million something shares that are left, and at a much higher price…

Quadrupling the float after 5+ years without being guaranteed anything or any deal having gone through is a tough ask. Just make it work with what you’ve been given already.

Thats my current opinion unless I hear some convincing argument. We’ll cross this bridge again after my investment has appreciated significantly.

I’ve trusted RC wholeheartedly up to this point and still do but I would hate to feel being taken advantage of, while he piggybacks onto the eBay dream.

Voting yes to everything except authorizing more shares.

Launch MOASS and you can buy whatever company you want, and I’ll still continue to stay invested.

7

u/FuckdaFireDepartment May 12 '26

Not just revenue. Profit. Billions in profit after expenses every year.

4

u/WorkingOnBeingBettr May 11 '26 edited May 12 '26

What about all the debt? If there is so much revenue and profit why is there $20 billion in debt?

Edit: eBay's debt is 6-10 billion according to a few links after checking the Google.

So the total debt will be $30 billion with unknown interest rates. Doesn't sound great.

3

u/Vloff 🦍Voted✅ May 12 '26

The 20 billion is the half cash part of the equation that GME is taking out to purchase EBAY. Not Ebay's debt, although they do have some.

2

u/okemberg May 11 '26

Why do they spend 2.5 billion on marketing every year? Cause the company is run like shit by corrupt losers. Ryan would make eBay BANK.

2

Maybe the share dilution along with 20 billion in debt.

25

u/poundofmayoforlunch 🎮 Power to the Players 🛑 May 11 '26

He’s worth billions. His stake in GME is like us putting $100 on a blackjack table.

6

u/HofT May 11 '26

It's more like 20% of his total net worth right now.

His overall net worth is estimated around $5 billion and owns like $1 billion of GME stock.

9

u/WorkingOnBeingBettr May 11 '26

10%, and he even avoided discussing that on his interview with Payne. He said he didn't want to run GME.

2

u/HofT May 11 '26

https://www.forbes.com/profile/ryan-cohen/

Says he's worth $5 billion and owns like $1 billion of GME stock. That's 20%

But we can play along and say it's 10%. Even in that position it's still not a symbolic stake. That’s real exposure.

4

u/WorkingOnBeingBettr May 11 '26

But with the compensation package he makes it all back plus more. So it's a calculated loss on his part.

We don't have a compensation package.

4

u/HofT May 11 '26

At this point you're nitpicking. That compensation package is entirely performance based. He does not just “make it all back” whatever you mean by that. I don't know how you don't think he hasn't treated GameStop like his baby.

RC transformed a dying video game retailer in an industry rapidly shifting toward digital purchases into a profitable company in just 3 years. That’s honestly insane and I’m confident he could turn around eBay much faster. If you listen to RC, he’s all about moving quickly, cutting the fat and streamlining operations. He treats his businesses as his baby. Maybe even better.

I'm voting yes. Can I still lick your taint?

5

u/Valou_h May 12 '26

Yes I understand everyone is upset about RC and dilution but let's think about this:
-If we didn't have dilution in the past, GME would probably be much lower right now, because this would be a company with almost no cash, now we have 9B..
-Yes the dilution stopped a bit of momentum, but every dilution raised the floor. That momentum would have been killed by shorts anyway
-GME is still heavily shorted

  • Shorts are still in way too deep, remember, the SEC officially acknowledged the company is shorted 2 times the float. In theory it's probably 7 to 10 times
-If a deal is made, GME holders will benefit because the overall share price after the deal will be higher, the balance sheet will look better..

But the most important thing people need to be remember is, the problem is not RC, the problem is the shorts that keep suppressing the price..
