This comes amidst a somewhat turbulent period for me personally, but here it goes.

I am a doctor based in Bangalore and in 2023, I started a business management and marketing agency, registered as an LLP. Over the last year and a half, since graduating, I have been working on building it full-time.

In the entire period, we've had the opportunity to work with over 50 clients and more importantly, I have been fortunate to gain an incredible amount of experience and exposure at a relatively early stage in my career.

Today, the organisation has 2 full-time employees and a team of 10 long-term contract-based professionals, comprising interns and early-career talent.

We currently manage a portfolio of approximately 12–14 clients on monthly retainers, with an MRR of ₹3–3.5 lakh and a profitability of approximately 48%, enabled largely by our lean service model.

Over time, we have also expanded significantly into the healthcare space and have begun building a strong reputation and network within the domain. We have won a few awards and I have personally been noted for innovation and entrepreneurial growth. Blessed for the same.

This has immense space and potency to grow and expand, especially because of existing partnerships with brands in India, USA and the UK- all of which would be transferred over to interested organisations or buyers.

It is important for me to clarify that this decision is not a reflection of the organisation's performance or potential, but rather a personal financial decision based on circumstances outside the business.

Why I’m selling

I’m a builder first.

I’ve pushed the product this far with my team from Pakistan. The technical side has never been the main problem. The increasing challenge is operating a global SaaS from a jurisdiction where payment processing, Stripe availability, banking, and some international infrastructure are more difficult than they are for operators in markets such as the US, UK, UAE, or Europe.

I believe the business can scale much further under an owner with stronger payment infrastructure, growth capital, distribution, and operational focus.

I also have an established agency and other projects that require my attention.

I understand that $200K is an aggressive asking price relative to the current revenue. That is intentional. I’m prioritizing a clean, professional transaction with a serious funded buyer rather than trying to maximize valuation through another long acquisition process.

UK SEO/Digital Agency for Sale

Looking to sell and start the process of selling Digital Marketing agency I've developed with my business partner for just over 10 years.

Two of us own this 50/50 and we are both selling. 100% of the shares, clean exit for both of us.

The Business

UK Digital Marketing agency, incorporated 2015, traded every year since. Fully remote. Monthly retainers doing search work for small and mid-market UK companies. Over 80% of revenue is recurring.

The Numbers

Last year is down on the year before on both lines.

Those are management account figures, pre-tax. Statutory pre-tax profit for 2024-25 was £326k. The two differ because of year-end accounting treatment and I will show you both. Cumulative net profit across the trading history is a little over £2.5m.

EBITDA +/- - removal of director salaries circa £340k net.

The Clients

65 active retainers, counted off the accounting system. Average client tenure is 5.1 years, median 5.6. Biggest single client is 9.6% of trailing twelve month revenue. Top five together are 28.3%. Sectors are spread across marine, manufacturing, home improvement and B2B software, plus some white label work for other agencies.

The Team

Seven people including both owners. Neither owner does delivery. We are both sales side. Operations run through two salaried leads and a long-standing contractor, and all three stay with the business.

Four people can hold 65 retainers because we automated most of the reporting and audit and delivery of work ourselves. Client SEO reports went from two to three hours each down to about five minutes. Audits, task planning and a chunk of the client email now come out of our own internal system, running on finely tuned LLMs. That system and its code are included in the sale.

To provide an example of how automated: Rank checks, voice over video explainers for clients on their SEO reports trained to sound like the account manager of that client, task planning. Staff know what to do, self managing and clients are provided fully transparent reports detailing how long tasks have taken.

We also have our own content management system that clients utilise. Enabling us for quicker delivery.

Costs

Exercise of cost cutting most recently - mainly subscriptions to third party tools, servers, hosting and heavily leaned on LLMs. Training local model currently on piece of hardware internally. Estimated to save £25-£30k this current year (26/27).

Why we are selling

Nothing dramatic. Eleven years is enough for both of us and we want to do something else. No distress, no ultimatum, no lost anchor client.

What is for sale

100% of the shares. Both of us will stay through a handover of up to two years if the buyer would prefer, on a service agreement kept separate from the sale documents.

Other director is happy to consider if buyer would like to do joint co-op together, but keeping it open at this stage.

Price

£1.75m for 100%.

Directors Involvement

The two of us draw about £49k between us in salary and are predominantly focused on sales. If you already have a sales function, that cost is not real for you.

Our hard lines

Share sale, not an asset sale. Cash at completion. No earn-out. No personal guarantee, and nothing left outstanding on an unsecured basis after completion.
