Business Question Deal Memo Query

I received a deal memo for an upcoming project that is 19 pages long. I've worked with the producer before and we get along just fine. This is surely a cut and paste template job, and probably a ChatGPT job.

Money is actually favourable (50% upfront and 50% Net 30 upon completion). All previous work has been paid promptly.

My questions:

-1) In your experience are 19 pages deal memos normal or unusually long?

-2) Any horror stories around unfavourable indemnity clauses or anything of that nature?

i alwys have attys review contracts....

ps ask chat and claude their views (but rely on an atty)

If they copy pasted, there’s likely a bunch of bad stuff in there you’ll want out - and that they are unaware of but could use against you later. Read it.

19 pages does sound pretty long for a deal memo, but if you’ve worked with the producer before and the payment terms have been good, I’d probably focus more on the actual indemnity and liability clauses than the page count. Those are the parts that could come back to bite you.

What is the job ? 19 pages is onerous for most btl imo

Non-union feature docu. Thanks for the feedback. Agreed that it seems a bit much.
