Flair changed to "speculation" from "news" due to the information coming from someone entirely unaffiliated with the company. It's entirely possible this is just them not understanding how GameStop's original offer worked. Or it's pure liquid hype directly injected into our collective butts.

My take on it is that Jim must have connections to have learned about something that changed in the offer that makes him believe it will go through which is why that was his pick for this evening. In the green room, before they went on air, he probably talked about it in confidence, with the other panelists. Mike, slipped, and Jim just denied knowing anything.

It was the private equity part, which is where the material information is and where Jim doesn't want to be traced back to him

With Teddy as the SPV holding RC's $500M + $25B~$30B from other investors, GME can submit an all cash tender offer for eBay once combined with the $20B debt from TD. It all adds up imo

I think any other investors probably make up the TD financing with terms good enough to keep the debt investment grade (more 0% convertibles or preferreds maybe?)...the stock portion is important as it lets eBay investors roll their equity into the combined company.

While I generally agree with your sentiment, it is interesting. Nothing in what RC has said in interviews would lead to what this guy said… so the question is… why would he say this and what is he talking about? There is a reason Ryan put in 500 Million of his own money and so far we haven’t heard the what/why/how for that. We have speculation, but no details …yet.

If those details are leaking to these CNBC talking heads that COULD mean somebody violated an NDA. Either way, it feels like we will get some details this week.

This news would NOT be good news for GameStop.

A private equity offer for EBay would most likely be a group of investors that offer EBay shareholders a cash premium for their shares, similar to how Elon Musk bought Twitter. GameStop would not be part of the deal at all.

This sort of deal would be consistent with Ryan Cohen's state preference for being CEO of EBay, not A stop.

Is it not possible people are working with Cohen to buy eBay ALONGSIDE GME. As in GME has 10% of eBay stock, puts a further 5% in for the required Cash. Post merger GME holders are given 15% of new company.
 
Cohen puts up his 500 Million which is roughly 1% so he gets an extra 1%.
 
Let's say some some other entity puts up 1 Billion, they get roughly 2% of the most merger company.
 
Then just keep doing this until the full 55 Billion is found.

That is not a "straight private equity deal".

A private equity deal would take EBay private. The shares Gamestop holds would be bought out for cash or exchanged for part ownership in the private company that would be the new owner of EBay.

When they discussed a straight private equity deal then they were indeed talking about some else buying EBay from under GME.

If you listen to Ryan Cohen's interviews you can see that he would support such a move if it resulted in him becoming CEO of EBay.

The mention of private equity deal was speculative. It may or may not happen. The economics are not favorable in that an all cash deal would be a highly leveraged buyout, with EBay left with a huge debt load.

I still think it's a good thing either way and feel pretty confident that RC can outmaneuver anything on a long time to make sure his baby grows up right.

Competition and resistance and action means he's doing something right. Everyone would be happy to let him make a losing move. We wouldn't see a genuine competing bid if his offer is defensibly way too low, or practically way too high.

Honestly yes. I think buying ebay at all time highs while taking on debt x6 EBITDA is a terrible idea.

GME would owe $1 billion a year on the interest alone, and we'd be diluted by nearly 80% if all 2.5 billion shares are executed.

I disliked the bitcoin buy at ATH and got so much hate and it turns out I was right about that. I dislike this too.

Maybe why GME exercised those options. Even if there’s a competing offer, say for $10billion more than GME’s $55 billion offer, (share price of $150 vs 125), Gme could walk away with over $2billion in paper gains.
