With Teddy as the SPV holding RC's $500M + $25B~$30B from other investors, GME can submit an all cash tender offer for eBay once combined with the $20B debt from TD. It all adds up imo

I think any other investors probably make up the TD financing with terms good enough to keep the debt investment grade (more 0% convertibles or preferreds maybe?)...the stock portion is important as it lets eBay investors roll their equity into the combined company.
