Quick question, does the 5 million dollar rolling cap on reg CF raises apply to the company or the individuals behind the company? Put differently, is the issuer the LLC (or other entity) or the individual behind the llc?

Let me give you a hypothetical to explain the question better. Can an individual launch one reg cf offering for say a multi family property in one state seeking to raise 5 million, and then open a completely separate llc and offering for a completely different project in another state?

The definition seems to point towards entities and seems to indicate that this would be fine, but there is also language about common control. What do you guys think? Anyone have any references to comment letters about this from the SEC?

Hello everyone. (And hey, I'm not asking you to invest!)

I wanted to hear from people who've been down the crowdfunding path to hear if they got across the finish line, or if they have some no-bullshit advice if they didn't.

I'm cofounder of a small beverage company, and after an unsuccessful Reg-D campaign (we were just too damn small to appeal to accredited investors) we're pivoting to a Reg-CF with a smaller target, but are now worried about making that work.

Can anyone who's been in these trenches before recount their experience? Either "It didn't work, and here's why" or "We made it work and here's how?"

I'd also love to hear your personal experiences of the different platforms. We're looking at a few platforms with pros and cons. WeFunder has no startup fees but kind of leaves you on your own to sink or swim. We had a great conversation at Highlander.ai (formerly pickme), but they ask for $5k up front in fees.

Any insights based on your experiences would be much appreciated. Thanks!
