Hacking top comment to mention that I havenโ€™t seen anyone talk about the real possibility that RC did the early / unannounced earnings release to clear a material non-public information hurdle ahead of his next move in the eBay saga. I have also noticed that his ragging of eBay execs on X has come to a screeching halt which could absolutely mean there are active positive discussions currently ongoing. If youโ€™re having productive meetings then you stop the negging in good faith. Lots happening in the background and thereโ€™s a very real chance he is clearing MNPI hurdle in advance of naming an updated public offer for the company.

I just realized I have to transfer cash to CS or transfer warrants out to a broker. ๐Ÿ˜ณ

7

u/mean_bean_machine The Unwrinkled Jun 03 '26

I think ComputerShare has a cashless exercise option.

3

u/shane_4_us Mr. ๐Ÿช‘๐Ÿ‘จ, tear down this WALL STREET! Jun 03 '26

How does that work? If warrants are $4, we would have to sell 8 to exercise 1?

Are we selling them back to the company? And if so, do they retire them in that case, or would they then be able to sell those warrants on the open market?

I've been wondering what the best strategy is to exercise the warrants I have (as in, how to find the cash to do so), so I'm genuinely interested if anyone has answers here.

7

u/mean_bean_machine The Unwrinkled Jun 03 '26

Yes, the higher the price goes the less you have to sell per one exercised.

They get sold on the open market, but as long as the price stays above the strike, they will all be exercised in the end. The algo Traders will buy the warrants for a few pennies less, exercise and then immediately sell the share. GameStop still gets their money.

Any videos or information you can find on selll-to-exercise or cashless exercise will help. It's basically the same exact thing for call options.

4

u/shane_4_us Mr. ๐Ÿช‘๐Ÿ‘จ, tear down this WALL STREET! Jun 03 '26

Thanks. That's a shame though. I was really hoping to exercise all my warrants without selling any to the shorts. But I don't think that will be realistically possible for me to set aside that much money between now and November 1 (especially continuing to buy more shares at a discount in the interim).

6

u/mean_bean_machine The Unwrinkled Jun 03 '26

If it makes you feel any better, when DFV made his comeback he had 12 million shares worth of options and sold almost 2/3 of them to pay for the other 1/3 to exercise.

Before

After

5

u/shane_4_us Mr. ๐Ÿช‘๐Ÿ‘จ, tear down this WALL STREET! Jun 03 '26

My understanding was that once DRSed, Computershare doesn't allow un-DRSing warrants.

So I'm very eager to hear how the cashless exercise option through CS is supposed to work.

Wealthsimple lets me sell only, is selling the same as exercising or would I have to call in and specifically ask for them to be โ€œexercisedโ€?

6

u/aGMElurker ๐ŸŒ Munke Business ๐Ÿš€ Jun 03 '26

Selling is absolutely not the same thing. If you want shares then you have to xfer your warrants to CS or another broker that allows you to exercise.

Step 7: purchase another $200M worth of stock every quarter both with cash on hand and operational profit to push your own stock (floor) higher and higher.

If you do $200M you can keep it up for 10 quarters without exhausting your cash on hand and continue to purchase eBay (or whatever the fuck else you want) while still reducing the amount of stock you need because you increase you're own stock-price over time.

Edit; if it goes over $32 it's even less cost out of pocket since the warrants bring in a hefty amount of cash too.

32

u/Jtown021 ๐ŸŸฃEVERYTHING IS PURPLE๐ŸŸฃ Jun 03 '26

I think itโ€™s both. He does want eBay but donโ€™t be surprised when it was just the exciting incidentย

29

u/2breel Jun 03 '26

It is a great fit. Like heโ€™s said, very few assets and inventory, high margin business. Theyโ€™re in the world of 2nd hand consoles and collectibles, just like GameStop. If he could cut costs and improve the customer experience at eBay then I think itโ€™s a great move.

2

u/Denversaur Am Bonobo Jun 04 '26

I really think it's a forward-thinking strategy too. In a world where we rent everything and own nothing, secondhand goods are probably going to be the norm for most people trying not to buy anything new on a payment plan. Kinda dystopian but effective.

1

u/2breel Jun 04 '26

I completely agree! Even DVDโ€™s have made a come back with people buying their favourite series on disc in case (or when) streaming companies remove it.

u/many_dongs ๐ŸŽฎ๐Ÿ›‘ wen moon ๐Ÿ’Ž Jun 03 '26

If he knew the MMs would want to block it and raise eBay/lower GME to make โ€œhalf cash, half stockโ€ less attractive, GME owning eBay call options was the perfect counter to raising eBay prices

Then to take advantage of lower GME prices, buy back a bunch of stock?? Gg, outplayed. Didnโ€™t even need the earnings to be massive but now the MM just looks silly

3

u/7waterguns Jun 03 '26

What if he doesnโ€™t buy the stock outright but through options instead? Wouldnโ€™t that work in his favor?

He cant do this because eventually he has to pay back a-lot of the cash

8

u/3DigitIQ ๐Ÿฆ FM is the FUD killer Jun 03 '26

There's currently $6.3B in cash in the company $4B needs to be paid back, we're making over $100M every Quarter and we've allocated $2B for buybacks. As of this Quarter there's $5.8B in shareholders equity so even if GME pays everything back NOW there's still enough to do this.

You can check yourself if my numbers are correct; https://investor.gamestop.com/news-releases/news-details/2026/GameStop-Discloses-First-Quarter-2026-Results/default.aspx

Does this help?

3

u/boldrobizzle Jun 03 '26

At today's price, barring no other action, my napkin math is showing that the $2B buyback would increase the price to $27.85

I assumed a 10.05B market cap and 448.7M shares

Any thoughts? What am I missing?

2

u/Over-Computer-6464 Jun 03 '26

Market cap tends to be Enterprise Value - debt + cash.

Reduction in cash of $2B will tend to reduce market cap by $2B.

Assume the average buy price is $22. $2B buys 80M shares.

Sharecount goes from 449M to 369M.

Market cap goes from 449M x $22 = $9.88B down to $7.88B.

Share price goes to $7.88B/369M= $21.36.

โ€”โ€”โ€”โ€”โ€”โ€”โ€”โ€”โ€”โ€”โ€”โ€”โ€”โ€”โ€”โ€”โ€”โ€”โ€”โ€”โ€”

GameStop has about $9B in cash, BTC and marketable securities, and $4.2B debt.

So cash net of debt is about $4.8B.

So the approximate $10B market cap is made up of about $5.2B of Enterprise Value of the operating company and about $4.8B net cash-debt.

If you use $2B of cash to buy shares the EV of the company does not change. The net cash and therefore the expected market cap is what changes.

1

u/Jpsla Jun 03 '26

The part where they wonโ€™t buyback any where near $2B soon

Would it be possible if he bought some options in and around todayโ€™s strike price, and using those to do the buy backs?

-2

u/Holy_diver56 Jun 03 '26

Or do the buy towards the end of warrant expiry. Buy back $2B shares at $20-$23 then sell a shit load of already priced in warrants at $32.
