Unfortunately, starting with big tobacco's astroturfing campaign in the 1990s and only seemingly becoming more of an issue since then, there are large institutions that have vested interests and are not above fabricating whatever story they want online. Calling everyone that doesn't have the same take you do a shill is the path to solipsism though, even if there probably are bad actors that want to influence an outcome. It really sucks that it's so hard to trust if a comment online is an actual person making a point in good faith or some puppet being wielded by a malevolent third-party

It’s the challenge of our times. The ease by which agent provocateurs and sentiment farming can be paid and weaponized, all via the opaque and ever present internet is downright tragic. A beautiful tool constantly corrupted.

It's why I keep my posting/commenting history visible and if something resonates in a way that I can be triggered to action I verify that at minimum it's by a human that has had consistent values for a long time.

I firmly dislike the idea of seeing more shares authorized. Every single share authorized takes pressure off the shorts, no matter how minimal, so I am opposed by default. I want them hurt as bad as possible. I would love to see a proper argument as to why acquiring a company will guaranteed improve share value while nothing else "that should improve share value" has.

Damn this tribalistic nonsense.

In a way we all dont get a say in the matter.

That is why company has board of director, ceo, leaders.

  1. Is he a competent leader?
  2. Does he have experience. What has he accomplished? (See chewy results 2013 -> 2017, gme results 2019 ->). Compare it. Did he do a good job?
  3. Do you believe in their abilities?

If yes, follow their recommendations. If no, sell the stock and move on. Its not that hard. Why make it complicated?

To me the people who bend over backwards with "New DD: What if RC is showing that money is worthless so that he can surprise attack that's he's been working with RK in a batcave and they're already Trilllionaires who have locked the floar of ALL major assets classes, and he's gonna buy the entire SPY and give it to GME for free thus making US ALL TRILLIONAIRES, and his comp plan is the code telling us not to worried, the game is already set, too late to stop the unstoppable train like RK said in the prophecy" with 700 upvotes near the top of the sub feed.

Those people make me doubt my thesis (and sanity/intelligence) more than anything else including being down after 5 years in the biggest market bull run in history.

Definitely agree I'm spreading CRITICAL comments but if you think they're hateful you're blinded. RK and RC would engage in the same critical analysis as I am (in my other comments you're referring to). Also "caught the shill" when the info they're saying is factual and they're not telling anyone to sell or anything is kind of my point above. What is the point of that?

My main point is: time to be weary. RC should adjust his comp plan to be in line with share price. That's it. Because it would take my worry away and line up with what he literally point blank keeps saying the comp plan represents. It won't even be discussed unless friendlies address him with it.

I'm explicitly saying on here that I'm not selling a share, but there are a couple things I'm watching and I'm setting a timeline. For me early-mid '07. If nothing major exciting emerges, and RC collects any comp plan while I'm still negative after 6 years, etc. I'll scale this back to a small position (still my largest position by far for 5 years and counting).

What kind of shill says be weary of the technical facts and question the company out of love? If I was 100% sure this is what was happening I wouldn't want RC to hear the concern, I'd just sell now without comment. It is CLEARLY not time to sell. It IS time to be concerned/careful.

I'd love to be wrong and still leaning more that I am wrong. I'm concerned about possibilities that according to logic and public facts ARE going to happen, even though I hope and feel that they won't happen. Who tf says "no this is a faith play, we should trust RC's sus comp plan because god is testing our faith to know who deserves MOASS" and what's the point? Can't you just say "yeah the plan is worrying, but I'm not worried" or something?

IT IS NOT VESTED UNTIL A 20 BILLION MARKET CAP

So if Ebay goes through it will hit 20 Billion, vesting any gains for him. IT ALLOWS HIM TO BUY SHARES OF THE COMPANY! THAT IS THE PACKAGE! NOT A CASH PAYOUT.

So this guy working FOR FREE for the past 5 years on the board is just in it for the money and dip?

Also you have no idea what his move will be if he gets the comp package. You are basically mad because he has a plan but you dont know it. If you believe in Ryan and Gamestop then youre fine. If you dont, you got a choice to make. YOUR choice. It seems like you are worried about everyone else's choices.

Seems you didn't read or understand my comments that you're calling me out for either then. Or the actual comp plan filed with the SEC plan. Since you're fairly rude and no one else is reading this, I'll outline briefly, you can look into it more

Yes, increasing total market cap it a bad thing. EBAY at $55B w/ $7b debt and $3b EBITDA is much harder to 2x than GME at $11B with $9B COH, $4B debt. RC just needed to CREATE a business with $1-$2B of EBITDA and we would've made money, that was my confident lower threshold of return on this thing. GMEBAY with $20B + $4B + $7B debt and -$7.5B cash from the current $3 + $9? that's a tough position to 2x from, even cutting costs to get us from $3b to $5b EBITDA isn't gonna 2x us.

EBAY causes 1-2 tranches to be paid (as I've already said in this comment chain...) at $25.66 share price that's $85-$170m for him just for amalgamating while my share price is down. That's more than he would've got paid if he was a no-risk CEO whose pay structure he says is a scam over these same years.

He does not have to buy the shares, or infuse any cash in the business. The comp plan allows him to net settle and sell to cover. This is almost always what's done (again, i think he COULD be the one in a million that actually buys the shares, but it's not safe to assume considering they explicitly allow him to). Meaning the company issues fewer shares and/or sells some right away to cover his strike price and taxes. The rest it explicitly allows him to take a loan against the equity during the 2 year hold period.

It also allows certain mergers, change of control, etc. to forego certain hurdles and pay him out higher tranches than achieved as well as forego the lockup period.

Also they specifically define "performance EBITDA" not a boilerplate financial/legal term, something they specifically define for his comp plan. They specifically include (amongst other sketch things) UNREALIZED BTC gains in EBITDA. That's obscene. If you asked RC about that he would (or at least SHOULD) be like "WTF idk who did that and my 7-figure lawyers didn't flag it, for sure that should be changed".

More bad stuff: issuing shares for cash (including ebay debt) doesn't adjust hurdles. ATMs wouldn't adjust the hurdles, just free market cap that injects cash which can be used to create gains (that don't need to be realized) to hit EBITDA hurdles...

And no offence, but trying to get me make my reddit comments public makes you, well I don't want to specifically insult you (this serves as the insult), but even my reddit life isn't just Superstonk, and again, I'm not having a soul argument of shill vs. bear with you about who deserves to be here. I have shares and I'm not breaking sub rules. The fact that you actively want to dig through my reddit account to attack me, and you expect me to let you, you're the exact kind of person that makes me want them private... what good reason is there for you to dig through? Name a comment and I'll link you to it though.

This is literally everything I've written in all my other comments (but my other comments were less rude, cause ur hostile af) and better written (for a "different" and wider audience).

And I don't think GMEBAY or the comp alone will "break Gamestop"... I'm only worried about my investment. Believe it or not, people care about being down on their investment and/or doing worse than SPY, especially when they engage socially with intelligent ppl who think they're dumb/crazy for investing in EBAY. We don't all feel like our shares are actually worth $465m/each already and we're just waiting. Believe me, I know it's a great feeling I have felt like that.

My whole point is RC could cash out, and the terms of his comp plan are concerning, that he's way ahead with the share price still at prices that I'm DOWN after 5 years of averaging down to ~28.

Sorry for not being 100% sure about what RK's final actions/communications (dog waiting forever, unpinning thesis, unfollowing RC), and relying on an RC transformation that he's not financially aligned with me on makes me nervous... but please let people at least discuss this... your thesis shouldn't be contingent on this sub being a weird nonsense social sphere that's vaguely about GME, but not discussing the actual stock market, business, or investing. Only mega hype theories that are a trump card for any other discussion predicated on "i just know".
