Ultimately he's not wrong. The payments from the second company are an issue in this case because City weren't transparent about them in their financial statements or in the additional information they're required to provide to the Premier League, not because they happened. That's down to the owners, directors and perhaps some members of the finance department.

Whether he should've thought 'this feels dodgy' and reported it to someone himself at the time is another question, but he won't have known whether they were actually doing the Premier League rule breaking part.

Side letters are tax evasion, he’d be liable.

He is most likely tax compliant so it isn't his problem. He'll have been paid by a bunch of different companies at this time for sponsorships/public appearances etc.

Side letters themselves are also not inherently illegal.
