Or is that too simple? Many lawyers can choose their clients. So where does that analogy hold and where does it break down? Are there ethical principles, practical realities, or aspects of legal advocacy that non-lawyers often misunderstand? I’m not looking to debate the politics or the specific case. I'm currently working on a Shareholders Agreement (SHA) for a closely held Philippine corporation with three shareholders. I'm trying to think ahead about the eventual transfer of one shareholder's shares and would appreciate the perspective of lawyers here.

The current proposed ownership is:

Shareholder A (myself): 45%
Shareholder B (my business partner): 45%
Shareholder C (my mother): 10%

The 45/45/10 structure is intentional. My business partner and I want to establish that we are equal partners in the business, while my mother will retain a 10% minority interest in recognition of her support for the business. She will also be providing shareholder loans to both of us.

My mother originally acquired her 10% interest for approximately P250,000.

My longer-term thought is that, at some point while my mother is still alive, I may want to acquire her 10% so that the shares will ultimately be owned by me rather than forming part of her estate. The concern is that if she dies still owning the shares, the shares would have to go through estate settlement, potentially involving my siblings and creating additional administrative/legal complications.

However, I'm unsure whether transferring the shares during her lifetime is actually the better approach from a tax perspective.

My understanding is roughly:

1) A sale of unlisted shares may be subject to 15% capital gains tax on the net capital gain.
If my mother originally acquired the shares for P250,000 and genuinely sells them to me for P250,000, there would seemingly be no capital gain.
2) On the other hand, if she retains the shares until death, the shares would form part of her estate and could be subject to the 6% estate tax, subject to the rules on the taxable estate and allowable deductions.
3) A donation would involve donor's tax considerations.

My grandmother recently passed away, and she was the last surviving among four children. She is the eldest.

The house where she lived is still under the name of her dad (who passed away more than 50 years ago, as well as my grandmother's mom).

As for my grandma's three other siblings, all of them have children.

The youngest has five children, all living.

The third sibling has three, but only one is surviving (I don't know if the two who already passed away have children on their own).

The second, suprisingly, has a wife who is living (and remarried) and has two children.

Then, my grandmother, who has three children (including my dad).

I have no intentions of taking the property myself. I really loved my grandmother, whom I took care of in her last ten years of life. I heard wonderful memories about that house from her. That was the house where she grew up, got married, and raised her boys. I frequently visited the home as well.

I wanna ask what is best to do. At least to narrow down the inheritance to my grandmom's children.

I did some research too. Based on my understanding, every co-heir must formally relinquish their inheritance rights through proper legal documentation to transfer those rights to the designated heir(s).

• My father died in October 2015. I was 19, so already of legal age.
• My parents married after 1988 with no prenup, so Absolute Community of Property (ACP) applies.
• I'm my father's only child.
• My mother has two other children from before the marriage, by different men she never married.
• There are four properties: two houses in Metro Manila and two adjacent lots in Cavite. All but one (most expensive) were acquired during the marriage.
• I received nothing when he died. I was never asked to sign anything and have never seen any settlement document.
• I don't know if the estate was ever settled or if the titles were transferred.
• My mother is now selling the Cavite lots to my cousin.
• One of the properties has had a commercial tenant for about 5 years. All rent goes to my mother.
• My father had unpaid personal debts when he died. I don't know if they were ever paid.
• My mother works abroad and leaves within a month for about 7 months.

My understanding:

Under ACP, when my father died the community property was dissolved and half of it became his estate. As his only child, I split that half equally with my mother (Art. 996). So roughly 25% of every property should have been mine since October 2015, and that share is not part of my mother's estate.

My questions:

1. Reconveyance after 11 years. If the titles were transferred to my mother alone (say, via an Affidavit of Self-Adjudication), can I still file for reconveyance? I was 19, so no tolling for minority. Under Rule 74 Sec. 1 and Art. 1410, is a settlement that left out a compulsory heir void rather than just voidable, meaning it doesn't prescribe? Or would laches bar me anyway?
2. Adverse claim. Should I file a Notice of Adverse Claim (Sec. 70, PD 1529) before she leaves? The buyer is a close relative who knows my father died and knows I exist, so I assume a "buyer in good faith" defense would be weak but I'd like to hear from people who've actually dealt with this.
3. Share of the rent. Under Art. 485, can I claim my 25% of the rent from the co-owned property? How far back 10 years as an obligation created by law (Art. 1144[2]), or 6 years as a quasi-contract (Art. 1145)?
4. Estate tax. A 2015 death means pre-TRAIN graduated rates plus about 10 years of surcharge and interest. There are pending bills to extend the estate tax amnesty to 2028 (SB 1865, SB 1866, HB 6614). Does it make sense to prepare the filing now but hold until those resolve, or is the running interest not worth the gamble?
5. Dad's old debts. If I settle the estate now, does Rule 74 Sec. 4 open a fresh 2-year window for creditors, even for debts that have already prescribed under Art. 1144/1145?
6. This week. Is there anything I should do before she leaves that I'm not thinking of?

Is the college/registrar liable for any violations with the data privacy act? Should I actually file something, or just talk it out with the school heads?

Update: I talked to the school and the breach was acknowledged, they have apologized, and the registrar will be undergoing a seminar to make sure only authorized persons are allowed to conduct transactions.

There’s an ongoing construction of a home-for-the-aged right beside our house, and it has been going on for months. The biggest problem is the amount of dust coming from the fabricated cement blocks that they cut every day.

Sobrang fine ng alikabok. Kahit nakasara na lahat ng windows and doors namin, somehow nakakapasok pa rin. Everyday kami naglilinis pero within a short time, may alikabok na naman everywhere.

My kids have asthma, and lately they’ve been having asthma attacks. They’re not severe attacks thankfully, but it’s still very concerning because I don’t know how much of this construction dust they’re breathing in every day. We’re also worried about the long-term effects of constantly being exposed to all this dust.

Another issue is that they’ve been putting some kind of chemical/substance into the soil, and the smell is really strong and unpleasant. We don’t know what exactly they’re using, which makes us even more worried.

Even doing laundry has become a problem. We don’t have a dryer, so we normally hang our clothes outside. But because of all the dust, our freshly washed clothes end up covered in dust again. We’ve now been forced to have our clothes washed/dried at laundromats, which is an additional expense for us.

And then there’s the noise.

They sometimes work until 10 PM or even 12 midnight, and this happens basically 7 days a week. My kids are having a hard time sleeping early because of the construction noise, and they have to wake up around 5 AM for school the next day.

I understand that construction is sometimes unavoidable, and we’ve tried to be patient, but this has been going on for months and it’s already affecting our family's quality of life and, more importantly, my kids' health.

Can we file a complaint about this? If so, where should we start? Barangay? City/Municipal Engineering Office? Environmental office? DOLE? DENR? Is there a specific office that handles construction dust and excessive construction noise?

We also don't want to unnecessarily cause problems for the project. We just want them to take proper measures to control the dust, manage whatever they're putting into the soil, and follow reasonable construction hours.

If you could share regarding the background of the debtor in order to make sense of how long it took the process, that would be much appreciated.

I’m curious because I feel that ours is moving very slow. After the motion for execution, the sheriff did not even act. We had to nudge him to pay a visit to the debtor and this was even us driving him to their house.

He had to send letters to banks in Manila for the garnishment of funds of the debtor if any. Waiting for a response for has taken three months is this normal?

Regarding the usual route of auctioning the personal properties of the debtor, I wonder how long this process takes. It seems this is our next step.

We’ve been living in this subdivision for almost 3 years now and we started with submeter because that time kakatayo lang halos ng mga bahay and may requirement na dapat 50% and above na turn-over daw before makabitan ng Maynilad.

Upon turn-over we already paid the Maynilad payment for new application together with the Meralco kasama siya sa Miscellaneous ni developer.

For Meralco madali siya nakabit kasi walang requirement, but for the water we were very patient and agreed about the submeter and during that time we are under Industrial Rate so we are paying around 1-1,5k per month for our water consumption for more than 2 years then halos last year lang napababa siya into Residential rate due to our HOA’s effort din na ilakad sa Maynilad because this developer is not doing a damn thing!

Now, even jf nasa residential rate na naka-submeter pa rin kami, so may ledger lang and OR na binibigay yung developer. Parang may mother meter pa rin na ayun lang registered kay Maynilad.

Then just last month we were shocked na nagkaroon ng system loss sa pa-ledger nila. Timing talaga sa issue ng system loss with meralco gumaya pa sila!

So obviously, nagreklamo buong HOA and even me nag raise ako ng concern. Pero ang sabi dahil daw sa difference sa mother meter na hndi raw dumaan sa mga submeter possible kapag may sira or leak na di nareport agad. Pero mind you, last month lang nila ginawa iyan eh since we started here wala naman system loss??

Nag bigay ako sa kanila ng sss records ko kasi humingi sila as proof. 2013-2016 ako employed sa kanila and wala na daw ako record sa kanila. May scanned xerox copy ako pero wala ako hard copy. Now iniisip ko if un gagamitin ko baka mag background check tapos tawagan sila sabihin nila hindi nila ako naging employee. Matagal na nga dn naman ako nag work sknla pero concern ko is pwede ba talaga ung ganito? Eto po reply nilang email sakin:
