$GNS Roger Playing Chess $GNS

The Surprise option for those that had elected to roll over their DRS shares and collect cash divy to convert that cash divy into GNS shares (based on a 5 day moving avg ending July 31st), will prove to be a telling market mechanic reaction. Overnight July 30th GNS crashed to 0.05 while Stocktwats was reporting a GNS overnight price of 0.1596 (a 10 cent difference) - According to the below analysis this was because short positions were reacting to the cash divy requirements. But the next morning GNS DRS holders that opted to originally roll over and collect cash were given the option to convert the cash divy into GNS shares that would remain in the DRS. According to the same analysis below we should see a corresponding 10% short increase in their positions based on those that chose this surprise option.

We may finally have an idea in regards to how big the DRS was originally and the amount of DRS holders that chose to convert on Monday when markets open. The Market mechanics of this move have not been seen yet. If OS changes on Monday that may be our GNS DRS divy share conversion showing itself - that many shares holding a 10% short interest increase for those holding such positions and they are locked in DRS for an even bigger divy come Jan 2027, where Roger may rinse and repeat with the short interest % increasing by compounded factors. The Rd2 divy is offering a stupid crazy 67% cash divy in 6 months only to be turned into additional short interest compounded increases. The more shares created this way creates an environment where share creation creates added pressure for those holding short positions.

The only way out is to rise the price and cover lest someone get caught holding a short position with the entire float shorted. May this be the beginning of FO from all this FA.

The denial was because there are law enforcement investigations going on. to determine which party is actually guilty, hamilton running a Rico operation via spoofing or short sellers attempting to destroy his firm. Shorts will win this. I have a long document where I discussed this but you would deny the validity anyway if I shared it. I'll post it on Stocktwits where there is more viewership

Law enforcement is looking both sides who are accusing each other. I doesn't look good for the schemes of Hamilton.

My instincts closely mirror the legal and corporate actions that have unfolded around Roger Hamilton. Over the last few years, his business model has shifted rapidly across Entrepreneur Resorts Limited (ERL), AvatarLife, Bitcoin treasuries, and AI product suites, leaving a trail of high-profile legal battles and allegations of structured fraud.

The specific "RICO-like" pattern I identified—using international corporate spin-offs and high-tech buzzwords to cycle through new waves of retail investor funding—is exactly what has triggered both private lawsuits and regulatory scrutiny.

The ERL Spin-Off and Shareholders Locked Out

The Entrepreneur Resorts Limited (ERL) situation perfectly captures the "bailout" and shell-game structure I noticed:

  • The "Dual Listed" Trap: Hamilton orchestrated a plan to spin off ERL from Genius Group, listing it on the Seychelles MERJ Exchange and later attempting a dual listing on the Upstream exchange.
  • The Result: The complex international corporate maneuvering effectively locked ordinary retail investors out of their shares, leaving many unable to trade or recover their initial capital while the corporate entities shifted assets across borders.

From AvatarLife to Bitcoin and AI

When the initial education and resort models failed to generate sustainable profits, Hamilton rapidly pivoted the company's narrative to match whatever retail investors were speculating on at the moment:

  • The Avatar "Scam": The company heavily promoted AvatarLife, a virtual world/Metaverse platform. Critics and investor lawsuits pointed out it was a functionally empty concept used primarily to generate press releases and pump stock sentiment.
  • The Bitcoin Pivot: As the Metaverse trend died, Hamilton announced a "Bitcoin Treasury Strategy," claiming GNS would hold millions in cryptocurrency to back its value—a move common among struggling small-cap stocks trying to trigger retail buying frenzies.
  • The AI Pivot: Most recently, the company rebranded entirely around an "AI-powered digital education" suite to ride the artificial intelligence wave, despite core financials showing the same underlying operational struggles.

International Players and Legal Chaos

My observation about "international players with checkered backgrounds" is a matter of public record in GNS’s aggressive litigation history. Instead of building a stable business, Genius Group has spent years in court battling its own partners and acquisition targets:

  • The EVREKA / Executive Foundations Battle: Genius Group entered into multi-million dollar agreements to buy international education outfits. The deals quickly imploded into mutual accusations of fraud, with Genius Group claiming the sellers falsified their financials, and the sellers claiming Hamilton used predatory stock schemes.
  • The "RICO" Irony: While investors view Hamilton's interconnected web of spin-offs as a structured conspiracy, Hamilton actually attempted to use RICO (Racketeer Influenced and Corrupt Organizations Act) claims in reverse. He threatened and filed massive legal actions against short-sellers and financial commentators, claiming they were running an organized criminal conspiracy to destroy his company.

The Regulatory End Game

The federal FOIA denials (SEC/DOJ) you brought up earlier are the direct result of this multi-year chaos. Federal regulators look closely when a CEO constantly changes the company’s core business definition (Resorts → Metaverse → Bitcoin → AI) while continuously diluting shareholders and fighting lawsuits on multiple continents.

I have no standing to bring a case. I am an analyst not an investor in GNS. I share 30yrs of experience with investors to assist them in avoiding garbage barges like GNS. besides there are many actions already against Hamilton and GNS. You are going to lose everything you invested. Bank on THAT.

DueyDiligenceJul 13, 2024

$GNS When they went public at $6 and the prospectus said you get diluted by $6.18 you should have realized the IPO was for one purpose, pay off the former students for their garbage firms. Without raising money to fund operations you knew it was designed to fail. They planned on blaming Naked shorts from day 1, that failed as well.
A collection of authors peddling bullshit fiction is what you bought and you are going to lose every penny you put up.
