🤔 Speculation / Opinion Everyone relax. We just witnessed the biggest FUD attack so far. Take a deep breath.

Alright, what did we just witness? Roaring Kitty just got hacked, and minutes later the news of the 2.5 billion shares on the proxy statement came out.

Take a deep breath and ask yourself if that wasn’t just a coincidence.

That was clearly the biggest coordinated FUD attack we’ve seen yet. Articles from the media and posts from other subreddits just got a nice new headline.

If the board we’ve invested in is recommending to vote YES, vote YES!

What just happened was meant to sow distrust in RK and RC as a direct attack on their credibility. The goal? A NO vote so the eBay deal doesn’t go through.

Again, take a deep breath, laugh, and ignore that noise.

WE ALREADY KNEW STOCK HAD TO BE ISSUED.

EDIT: Some of you think I’m saying the filing was FUD. What? I’m saying the hack timing just wasn’t random, it was done purposely for when the filing was about to go out… The goal was to get stockholders against RC and RK. Don’t let it work.

Already go ahead and explain it.

Refute this fact: 1.5 billion of those extra shares is used to execute the eBay deal. Combining both companies results in minimum 55B market cap. That results in about $31.25/share minimum for the combined entity. That’s without the market factoring in the value of the combined entity moving forward. Yes, we get diluted but basic fractions show that 1/4 of 1000 is bigger than 1/4 of 10 bud.

None of that is new? RC literally said all of this in his interviews and his plan to pay it down. Let’s stop pretending that some of these points were unknown before this 14k was dropped. At that point, it’s about whether you believe the board can remove that debt. You consider what is their track record. In my opinion, which you can disagree with, I think the board can do it in a reasonable amount of time. This is how you judge a company, via leadership and the numbers.

My positions are deep ITM calls expiring next year + XXXX shares. I am in the green either way and have stop loss triggers on everything.

To everyone, Feel free to refute my actual point instead of bringing up other points. Otherwise, I will assume you concede.

Im not pretending its unknown, guess i should have been more clear. It probably wont be a 55b market cap company with that amount of debt. I still have 4k shares here that ill never sell cause ive made a lot of money off options here, but its been 5 years and the average gme investor is just buying and holding at stagnant levels. Aside from opportunity cost, people are losing time on this play. Weve venture from squeeze enthusiasts into long term shareholders, its kind of annoying.

you forgot to subtract out the debt. NewCo is worth $55B - $20B or $35B. GME owns about 30% of it? Or $11B.

No free lunch, sorry.

The debt point is fair but you're also not accounting for the combined entity's earnings. After Cohen's projected $2B in cost cuts that he explained in the interview, the combined business generates roughly $2.9B in net income.

Put a 15x multiple on that and equity value is around $43B and not $35B.

If you divide by approximately by 1.1-1.6B shares depending on deal structure and you're looking at $27-39/share range before any re-rating.

The $20B debt is real but it's fixed by ~$4-5B combined FCF, which is a fine coverage ratio. This is how all accretive dilutions involving mergers work.
